Acknowledgement and Acceptance
The Terms and Conditions below, and any other rules and policies set forth on this website, comprise the entire agreement (the "Agreement") between you ("you" or "customer") and SurveyGoo Ltd ("we" or "SurveyGoo") concern the provision of Quick Poll survey services. Quick Poll is an online survey service which allows the customer to conduct a poll with UK audiences of the general population or business respondents.
The website is owned and operated by SurveyGoo Ltd. We are a limited company, registered in England and Wales under the company number 07429057. SurveyGoo Ltd and the Customer are hereinafter each referred to as a "Party" and together as the "Parties".
1. Question Types
1.1. Customers can choose to ask between 1 and 10 survey questions using any of 7 Core Survey question types including “Single Choice Input”, “Comment”, “Radiogroup (single choice”), “Single Choice Matrix”, “Checkbox”, Ranking (drag & drop)”, and “Dropdown”.
1.2. The Number of Core questions permitted and corresponding options/size limitations for each question are specified in 1.3.
1.3. Single Choice – 1 question; Comment – 1 question; Radiogroup (single choice) – 1 - 10 questions, up to 10 options codes; Single Choice – Matrix – 1 - 10 questions, 5 columns x 5 rows; Checkbox – 1-10 questions, up to 10 options; Ranking (drag & drop) – 1 question, up to 5 options; Dropdown – 1-3 questions, Up to 10 options.
1.4. A total of 1-2 skips or question logic programming is included
1.5. Final questions provided by the Customer shall be in compliance with ESOMOR and Market research Society Guidelines, and We reserve the right to withhold the survey if the questions do not meet research guidelines.
1.6. We shall provide assistance with sense and spell checking of the final questionnaire, but the service does not include questionnaire design services. Question design services may be requested for an additional fee, agreed before commencing the Quick Poll.
2. Service Process and Payment Terms
2.1. The Quick Poll must be ordered and paid in full before the service will be provided.
2.2. Customers can order a quick poll and request an invoice. You will provide current, contact information for the preparation of the invoice.
2.3. We will send an invoice to the authorised contact provided in the order form.
2.4. The invoice will be paid in full, either via Pay Pal or a direct bank transfer.
2.5. The final survey questions will be provided by You at the point of the order being placed, and provided in word, excel or pdf format.
2.6. The final questions must be agreed with SurveyGoo in line with ESOMAR and Market Research Guidelines, before the questionnaire can be programmed on our survey hosting platform.
2.7. The draft survey on our survey platform will be reviewed by the Customer and approved before the survey is published as a live survey.
2.8. The survey results will be delivered within the timescales specified in Quick Poll Key Features, and agreed on commencing the Quick Poll. See section 3.
3. Delivery Timescales
3.1. Delivery timescales refer to the combined period the survey is live to collect survey responses and the time to provide the survey reports.
3.2. An estimated delivery date will be provided only after the hosted survey has been approved by the client when the survey is published as a live survey.
3.3. The delivery date is based on working days, defined as Monday, Tuesday, Wednesday, Thursday, Friday.
3.4. The number of delivery days is normally between 1 - 5 days for General Population Quick Polls (4-5 days for Mini Polls, 2-3 days for Quick Polls and 1-2 days for Rapid Polls) and 5-10 days for Business Quick Polls (N=500 5-6 days, N=1000 6-7 days, N=2000 8-10 days).
4.1. Standard Deliverables for General Population Quick Polls consist of (a) Topline Tables in Powerpoint format, which includes the Net (Total) % of the sample, and standard Age breaks, (b) Banner Tables in Excel format, which includes the standard banner breaks Age, Gender, and Region. City Break is an optional add on. Data Tables will be weighted to be nationally representative (see 5.2, 5.3 and 5.4).
4.2. Deliverables for Business Quick Polls consist of (a) Topline Tables in Powerpoint format, which includes the Net (Total) % of the sample, and standard Number of employees breaks, (b) Banner Tables in Excel format, which includes the standard banner breaks, Number of Employees, Sector, Employment Status and Decision Making Status.
4.3. Raw case data files of survey responses are NOT provided.
5. Sample Specification
5.1. General Population Quick Polls include a choice of sample size of 500, 1000 or 2000 respondents from the General UK population of adults 18+.
5.2. General Population audiences are representative of the 12 UK Government regions (East Midlands, East of England, London, North East, North West, Northern Ireland, Scotland, South East, South West, Wales, West Midlands, Yorkshire & The Humber).
5.3. General Population Standard age groups include: 18-24, 25-34, 35-44, 45-54, 55-64, 65+.
5.4. General Population Gender breaks include: male, female, non binary, rather not say.
5.5. Business Quick Polls include a choice of sample size of 500, 1000 or 2000 respondents from people working in UK businesses and organisations.
5.6. Business Poll standard breaks for number of employees include for SMEs 1-9 employees (micro), 10-50 employees (small) and 51-250 employees (medium) and for larger businesses, 251-500 employees, 501-999 employees and 1000+ employees.
5.7. Business Poll standard breaks for Employment status include; Full time work (up to 35 hours a week), Part time work (up to 34 hours a week) and Self employed.
5.8. Business Poll standard breaks for Decision making status includes: not involved in dept decision making, sole decision maker in my dept/role, member of decision making team, head of decision making team.
5.9. Business Polls will include responses from the following industry sector categories: Construction, Professional, Scientific and Technical Activities, Wholesale and Retail Trade, Administrative and Support Service Activities, Other Service Activities, Human Health and Social Work Activities, Transportation and Storage, Information and Communication, Education, Arts Entertainment and Recreation, Manufacturing, Accommodation and Food service, Agriculture Forestry and Fishing, Real estate activities, Financial and insurance activities, Production activities.
6. Customer Obligations
By accepting the Terms and Conditions you agree to the following responsibilities:
6.1. Lawful use of the service.
6.2. You are solely responsible for the content of the surveys you conduct using Surveygoo, including survey questions, subject and objectives.
6.3. All surveys conducted using Surveygoo will be in compliance with ESOMAR Code of Marketing and Social Research Practice
7. Intellectual Property Rights
7.1. The Customer shall own the deliverables (including copyright and intellectual property rights) upon payment of the relevant price. We retain full ownership and intellectual property rights of techniques, process, method, GooPoll and Opini Panels, and Quick Poll product.
7.2. Under no circumstances shall we disclose information on respondents, or make them personally identifiable.
8. Indemnification by Customer
8.1. The Customer hereby agrees to defend, indemnify and hold harmless Surveygoo Ltd, affiliates, directors, officers, employees, agents and contractors, from and against any and all losses, damages, liabilities, costs, expenses (including costs and reasonable fees of attorneys and other professionals), that may be incurred by Surveygoo Ltd related to the Customer's use of our Quick Poll Services, and consultancy including but not limited to survey responses or survey results, and/or related to any violation of this Agreement.
9. Limitation of Liability
9.1. To the fullest extent permissible pursuant to applicable law, neither Surveygoo Ltd, or its employees or consultants shall be liable for any indirect, special, incidental, consequential or punitive damages arising out of the Customer's use of, inability to use, or reliance on Quick Poll Services or any surveys conducted via Surveygoo, survey responses or survey results, even if advised of the possibility of such damages.
9.2. SurveyGoo’s liability for any direct damages suffered by the Customer under this Agreement shall be limited to an aggregate maximum amount equal to the amount paid by the Customer for the Quick Poll service during the twelve (12) months immediately preceding the occurrence of the event causing the damages.
10. Force Majeure
10.1. The Parties shall be relieved from liability for a failure to perform an obligation under the Agreement if such failure is caused by a circumstance of the type stated below ("Force Majeure Circumstance") and the circumstance prevents or makes substantially more difficult the timely performance of such obligation. A Force Majeure Circumstance shall be deemed to include inter alia acts or omissions of authorities, new or amended legislation, leaving of personnel, illness or other reduction of work capacity, death, conflicts on the labour market, blockade, fire, flood, loss or destruction of data or property of major significance or a major accident.
10.2. If either of the Parties wishes to claim relief pursuant to the provisions in this Section 10., it shall without unreasonable delay inform the other Party thereof in order to be able to invoke such a claim.
10.3. Notwithstanding the aforementioned either of the Parties may under the stated circumstances rescind the Agreement if performance by the other Party of a certain obligation has been delayed by more than sixty (60) days).
11. Term and Termination
11.1. This Agreement shall automatically become effective upon the Customer's first use of Quick Poll Services and continue indefinitely until it is terminated.
11.2. Either of the Parties may immediately terminate this Agreement (the "Terminating Party") by written notice to the other Party in the event that said Party materially breaches any of its obligations under this Agreement (the "Breaching Party"), if such breach is not cured within 1 and 14 days of the Breaching Party's recieval of notice from the Terminating Party.
11.3. Either of the Parties shall be entitled to terminate the Agreement, upon [thirty (30) days] written notice, if the other Party is declared bankrupt, enters into composition or corporate reorganization proceedings or liquidation or can otherwise be assumed to have become insolvent.
11.4. Upon termination of this Agreement for any reason, the Customer shall have no rights to use and Surveygoo shall retain all rights in the Deliverables.
12.1 This Agreement is personal to You, and You may not assign, transfer or delegate your rights or obligations to anyone.
12.2. This is an Agreement between separate legal entities and neither is or shall be deemed to be the agent or representative of the other for any purpose whatsoever and nothing contained in the Agreement shall have such effect. The Parties do not intend to create a partnership or joint venture of any kind. No Party shall have any authority or power to enter into any agreements on behalf of the other Party or otherwise bind, commit or oblige the other Party in any way.
12.3. In the event that any provision of this Agreement is held to be invalid or unenforceable, pursuant to judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable according to its terms.
12.4. The division of the Agreement into separate sections and the insertion of headings are for convenience only and shall not affect the interpretation of the Agreement.
Neither party receiving Confidential Information from the other party shall:
13.1. use Confidential Information received from the other party under this agreement for any purpose other than to fulfil its obligations under this Agreement.
13.2. disclose such Confidential Information to any third party, except for those of its employees with a need to know the information in order to perform their obligations hereunder and provided that they are made aware of and agree to be bound by the obligations of confidentiality contained herein. The receiving party further agrees to use the same degree of care in safeguarding the confidential information as its uses for its own information, but in no event less than a reasonable degree of care. All Confidential Information in tangible form (including any copies or summaries of Confidential Information) shall be returned to the disclosing party promptly upon written request, upon termination of the Agreement or upon the receiving party’s determination that it no longer has a need for such Confidential Information. Confidential Information provided to the receiving party in any other form, to the extent such information cannot be returned to the disclosing party, shall be destroyed by the receiving party to the extent practicable
13.3. For the purpose of this confidentiality undertaking confidential information shall mean any and all information - including but not limited to technical, practical and commercial information - save as provided below.
(i) Information, which is known or which will become known in full detail to the public other than by breach of the obligations herein contained.
(ii) Information, which the Customer can show was in its possession before making this undertaking.
(iii) Information, which the Customer has received or will receive from a third party without restraints as to the disclosure thereof.
13.4. If the Customer wishes to use or disclose information based on any of the foregoing exceptions the Customer shall have the burden of proof regarding the applicability of such exception by objective and verifiable evidence and shall in no event be entitled to use such information prior to [thirty (30) days] after notice of such intention to Surveygoo Ltd.
14. Governing Law and Disputes
14.1. This agreement shall be governed by and construed in accordance with laws of England.
14.2. The Customer hereby submits to the non-exclusive jurisdiction of the courts of England for the purpose of any action or proceeding arising out of or in connection with the Agreement. The court of first instance shall, regardless of which party who initiates the proceedings and regardless of the nature of the claims involved, be the City Court of England.
14.3. Notwithstanding any of the foregoing, nothing in the Agreement shall affect the right of Surveygoo Ltd to serve legal process in any other manner permitted by law or limit the right of Surveygoo Ltd to bring any action or proceeding against the Customer in the courts of other jurisdictions.
